YANTRA BHAVAN – UNIFIED TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement under the Indian Contract Act, 1872, between Yantra Bhavan, having its registered place of business at Bharuch, Gujarat, India (“Yantra Bhavan”, “Platform”, “We”, “Us”), and any person or entity accessing, registering on, uploading content to, or transacting through the Platform (“User”).
By accessing or using the Platform in any manner whatsoever, the User irrevocably agrees to be bound by these Terms.
1. DEFINITIONS AND INTERPRETATION
1.1 Applicable Law means all laws, statutes, rules, regulations, notifications, circulars, guidelines, judicial precedents and governmental directions in force in India, including but not limited to the Information Technology Act, 2000, DPDP Act, 2023, CGST Act, 2017, and Consumer Protection Act, 2019.
1.2 Buyer means any User who issues an RFQ, uploads CAD Files, or procures manufacturing services.
1.3 Seller means any User offering manufacturing, fabrication, prototyping, or related services.
1.4 CAD Files means all digital design files, drawings, schematics, models, specifications, and related technical data uploaded to the Platform.
1.5 Consideration means any monetary or non-monetary payment exchanged between Buyer and Seller.
1.6 Intermediary Services means software-based tools enabling RFQ creation, communication, file exchange, and dashboard access.
1.7 Mode A (SaaS Mode) means the default operational mode where Yantra Bhavan provides only Intermediary Services and does not facilitate payments.
1.8 Mode B (Marketplace Mode) means the optional payment-facilitated mode activated strictly in accordance with Clause 3.
1.9 Payment Gateway means an RBI-regulated payment aggregator, including Razorpay.
1.10 Transaction means any commercial engagement between Buyer and Seller.
1.11 Workspace means the authenticated dashboard allocated to a User.
1.12 Headings are for convenience only and shall not affect interpretation.
2. LEGAL STATUS AND INTERMEDIARY POSITIONING
2.1 Yantra Bhavan is an “intermediary” under Section 2(w) of the Information Technology Act, 2000.
2.2 Subject to Section 79 of the IT Act, Yantra Bhavan claims full safe-harbor protection for third-party information, transactions, and conduct.
2.3 Nothing herein creates any partnership, agency, employment, fiduciary, or joint venture relationship between Yantra Bhavan and any User.
2.4 Yantra Bhavan does not manufacture goods, certify designs, inspect facilities, or validate outputs.
3. DUAL-MODE OPERATIONAL FRAMEWORK
3.1 Mode A is the default and legally presumed operational mode.
3.2 Mode B is activated solely upon:
- (a) Explicit Seller opt-in;
- (b) Dashboard-level activation;
- (c) Digital execution of a Payment Facilitation & TCS Addendum;
- (d) Payment routing via the Platform-enabled gateway.
3.3 Absence of Mode B activation conclusively establishes that Yantra Bhavan has zero involvement in financial settlement, consideration, escrow, or payment flows.
3.4 Mode selection is irreversible per Transaction.
4. BUYER TERMS AND DISCLAIMERS
4.1 Buyers acknowledge that custom manufacturing inherently involves tolerances, material variability, and process deviations.
4.2 In Mode A, all payments are made directly to Sellers at Buyer’s sole risk.
4.3 Yantra Bhavan provides no escrow, refund, warranty, guarantee, or dispute resolution.
4.4 Buyers are solely responsible for engineering correctness, regulatory compliance, and independent validation of safety-critical parts.
4.5 Platform outputs shall not be relied upon for medical, structural, aerospace, defense, or life-critical use.
5. SELLER TERMS, TAX STATUS AND INDEMNITY
5.1 Sellers act as independent principal suppliers.
5.2 In Mode A, Sellers bear sole responsibility for GST, TCS, TDS, invoicing, classification, and statutory compliance.
5.3 “Mark as Paid” is an internal administrative status and does not evidence receipt of funds.
5.4 Sellers shall indemnify Yantra Bhavan against all tax demands, penalties, interest, audits, and retrospective claims.
6. PAYMENT FACILITATION AND RAZORPAY-SPECIFIC TERMS (MODE B)
6.1 Mode B payments are processed through RBI-regulated gateways such as Razorpay.
6.2 Yantra Bhavan is not a bank, trustee, or escrow holder.
6.3 Any escrow is maintained solely by the payment aggregator under its terms.
6.4 Settlement timelines are gateway-dependent.
6.5 Chargebacks, reversals, and fraud risks are allocated to the Seller.
6.6 Yantra Bhavan bears no liability for gateway downtime or failures.
7. GST SECTION 52 AND CONDITIONAL TCS
7.1 TCS under Section 52 of the CGST Act applies exclusively in Mode B.
7.2 Mode A transactions do not render Yantra Bhavan an e-commerce operator.
7.3 Sellers acknowledge Yantra Bhavan’s conditional statutory role.
8. INTELLECTUAL PROPERTY AND CAD FILES
8.1 Buyers retain ownership of CAD Files.
8.2 Buyers grant a limited license to Sellers solely for quotation and manufacturing.
8.3 Sellers assume full responsibility upon download.
8.4 Yantra Bhavan bears no liability for IP infringement or data misuse by Users.
9. ACCEPTABLE USE POLICY
Prohibited items include, without limitation:
- Weapons, firearms, and components
- Medical implants or life-critical devices
- Aerospace, defense, nuclear components
- Illegal or regulated goods
- IP-infringing or reverse-engineered designs
10. DATA PROTECTION AND PRIVACY
10.1 Yantra Bhavan is a Data Fiduciary; Users are Data Principals.
10.2 Processing is consent-based, purpose-limited, and secured.
10.3 Reasonable security safeguards are implemented.
10.4 Data breaches shall be notified as per Applicable Law.
10.5 Cross-border transfers may occur subject to lawful safeguards.
10.6 GDPR principles apply where mandated for non-Indian Users.
11. LIMITATION OF LIABILITY
11.1 Total liability is capped at subscription fees paid in the preceding 12 months.
11.2 No liability for indirect, consequential, special, or punitive damages.
12. INDEMNITY
12.1 Sellers indemnify Yantra Bhavan for manufacturing defects, tax claims, and regulatory violations.
12.2 Buyers indemnify Yantra Bhavan for illegal designs and misuse.
13. TERMINATION AND RISK CONTROLS
13.1 Immediate suspension may occur for regulatory, tax, or safety risks.
13.2 Termination does not waive accrued rights.
14. GOVERNING LAW, ARBITRATION AND JURISDICTION
14.1 Governing Law: Laws of India.
14.2 Arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator.
14.3 Seat and venue: Bharuch, Gujarat, India.
14.4 Courts at Bharuch, Gujarat, India shall have exclusive jurisdiction.
