Seller Terms

The Vendor Agreement governs how you operate as an independent contractor on Yantra Bhavan’s marketplace. You contract directly with each customer and Yantra Bhavan is solely the platform provider.

1. Appointment and scope of services

  • Vendor status: Vendors are independent contractors supplying manufacturing and rapid prototyping services directly to the customer.
  • Contractual relationship: The legally binding contract for manufacturing, quality, and delivery exists between you and the customer; Yantra Bhavan facilitates quoting and payment.
  • Service commitment: You agree to manufacture products according to the customer’s approved specifications, your quoted quality standards/lead times, and all applicable laws.

2. Intellectual property, confidentiality, and file protocol

  • Customer IP ownership: Customers retain ownership of all design files, CAD data, and technical drawings. You receive a limited, non-exclusive license to use them solely to fulfil the specific order.
  • Strict confidentiality: Treat every customer file as confidential and safeguard it with physical and electronic controls to prevent unauthorized access or disclosure.
  • Mandatory file deletion: Delete all customer files, molds, and temporary data immediately after the product ships, a cancellation occurs, or the agreement terminates unless otherwise required by law.
  • Unauthorized content: Refuse orders that contain prohibited content (see Customer Terms) and inform Yantra Bhavan immediately.

3. Fees, payment, and order processing

  • Vendors set the final price for services, inclusive of materials, processing, post-processing, and shipping, and agree to honor the agreed quote.
  • Yantra Bhavan deducts a commission (a percentage of the total order value, excluding shipping and taxes) before remitting the balance to you.
  • Payment remittance: Yantra Bhavan collects payment from buyers and remits the net amount to vendors after deducting commission, chargebacks, or refunds according to the mutually agreed payment schedule (for example, seven days after delivery confirmation).

4. Vendor warranties and indemnification

  • Warranties: You must perform services with the highest care, skill, and diligence, deliver parts that match accepted specifications, and honor a limited warranty period (e.g., ten days post-delivery).
  • Indemnification: You indemnify Yantra Bhavan for third-party IP infringement claims, breaches of confidentiality, product liability, or any failure to comply with taxes or shipping/import laws.

5. Termination

  • Yantra Bhavan may terminate your access immediately if you breach material terms, receive excessive complaints or chargebacks, or are found producing prohibited content or breaking any law.
  • Upon termination, cease all platform use and complete outstanding orders per marketplace direction.
